Terms of Service

These Terms of Service ("Terms") govern use of the ClubTree platform, websites, and related services ("Service"), operated by MW Global LLC, doing business as ClubTree, a Virginia limited liability company ("ClubTree," "we," "us").

By using the Service — as a club, a club administrator, a club member, or a visitor to a club website — you agree to these Terms. If you are using the Service on behalf of a club, you represent that you have authority to bind that club.

1. The Service

ClubTree provides club management software: public club websites, membership applications, member directories, event and program management, attendance tracking, dues visibility, and club email tools. Features may change as the Service evolves.

2. Accounts and access

  • Account credentials are personal. Keep them confidential and notify us of any unauthorized use.
  • Clubs designate their own administrators and control member roles and permissions within their club.
  • You must provide accurate information and keep it current.

3. Club responsibilities

Each club using ClubTree:

  • Controls its own content and its members' data, and is responsible for having the right to collect and use that data (see our Privacy Policy).
  • Is responsible for the accuracy of information it publishes on its club website, including dues records, event details, and member information.
  • Must obtain any permissions needed for content it uploads (photos, logos, text).
  • Is responsible for how it uses email tools, including sending only to appropriate recipients.

Clubs affiliated with Rotary International or other organizations are responsible for complying with their organization's branding and data policies. ClubTree is an independent product of MW Global LLC and is not owned by or affiliated with Rotary International.

4. Acceptable use

You agree not to:

  • Use the Service for unlawful purposes or in violation of others' rights;
  • Attempt to access data of a club or member you are not authorized to access;
  • Interfere with or disrupt the Service, probe or breach its security, or circumvent access controls;
  • Send spam or unsolicited bulk email through the Service;
  • Upload malicious code or content that is defamatory, infringing, or otherwise unlawful.

We may suspend or terminate access that violates these Terms.

5. Content and ownership

  • Your content stays yours. Clubs and members retain all rights to content and data they submit. You grant ClubTree a limited license to host, store, display, and transmit that content solely to operate the Service.
  • The platform stays ours. ClubTree's software, design, and branding are the property of MW Global LLC. These Terms grant no rights to them except use of the Service as intended.

6. Fees

Current pilot use of the Service is provided under terms agreed directly with each club. If paid plans are introduced, pricing and payment terms will be presented before any charge applies.

7. Third-party services

The Service integrates with third-party providers (for example, email delivery, and optional QuickBooks Online synchronization that a club may connect). Third-party services are governed by their own terms and privacy policies. Payment links in dues emails lead to third-party payment pages; ClubTree does not process card payments.

8. Service availability and changes

We aim for reliable operation but do not guarantee uninterrupted availability. We may modify, suspend, or discontinue features with reasonable notice where practicable. Clubs may export or request their data.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CLUB RECORDS DISPLAYED IN THE SERVICE (INCLUDING DUES AND ATTENDANCE) ARE MAINTAINED BY THE CLUB; THE CLUB'S OFFICIAL BOOKS AND RECORDS REMAIN AUTHORITATIVE.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MW GLOBAL LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS PAID BY THE APPLICABLE CLUB FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM (OR $100 IF NO FEES WERE PAID).

11. Indemnification

Clubs agree to indemnify MW Global LLC against third-party claims arising from the club's content, the club's use of member data, or the club's violation of these Terms.

12. Termination

Clubs may stop using the Service at any time and may request deletion of their data. We may suspend or terminate access for material violation of these Terms. Sections that by their nature should survive termination (including 5, 9, 10, and 11) survive.

13. Governing law

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law rules. Courts located in Virginia have exclusive jurisdiction over disputes arising from these Terms.

14. Changes to these Terms

We may update these Terms as the Service evolves. We will post updates on this page with a new effective date and provide notice of material changes through the Service or by email to club administrators. Continued use after changes take effect constitutes acceptance.
